THE CONSTITUTION

 

   1. NAME

The Club shall be called Dunfermline Airgun Club (hereinafter referred to as the "Club").

 

 

2. OBJECTIVES                  

 

The objects of the Club shall be :-

 

(a)     to provide instruction and practice in the safe use of all types of legal air guns and,

                        

(b)     to encourage the promotion and practice of the sport of air gun shooting to inanimate field target shooting in the general area of Fife and,

 

(c)     to undertake other activities incidental or conducive to the furtherance of the above objectives.

 

3. MANAGEMENT

3.I   The affairs of the Club shall be conducted by a Committee which shall consist of the Officers of the Club.

3.2 The Officers of the Club who shall be honorary shall consist of a Chairman, a Treasurer, and a Secretary who shall be elected annually at  the Annual General Meeting.

3.3 All Committee members shall be Full Members of the Club. The Secretary shall convene meetings of the Committee as and when   required.

3.4  All assets of the Club shall be vested in the Committee for the time being.

3.5 The Committee shall keep a full register of all Members of the Club and a record of all correspondence connected with the Club.

3.6 In addition to the register of all Club Members held by the Committee any member(s) specifically nominated by the Committee may hold details of Club Members in paper or electronic format for the purposes of communicating events of the Club. Such details shall however be limited to the following:

I/     Name, address (including email address, if available) and telephone number of Club Member and BFTA Registration Number

Such details shall be treated by the holder as confidential and shall not be used or disclosed except where strictly necessary for the purposes of the Club or as required by law or by the competent authorities.

 

3.7 In the event of the death or resignation or removal from office of any committee member, a successor shall be elected by the committee  at the next committee meeting, to hold office for the remaining, part of the previous holders period of office.                                         

3.8 Any officer or member of the committee may be removed from the committee by a simple majority of those present and eligible to vote and voting at a General Meeting held under Rule 5 of this Constitution. Such a vote may be taken by secret ballot.

3.9 The Committee shall have all powers necessary for or incidental to the conduct of the Clubs affairs, including but not limited to the power to join or affiliate the Club to any other organisation(s) connected with the sport of air gun inanimate target shooting.

 

4. MEMBERSHIP

        4.I  Membership shall consist of the following categories:

  (a)     Full Members and,

(b)     Probationary Members

 

4.2 All Members joining the Club shall be deemed to accept the terms of this constitution and of any by-laws from time to time adopted by the Club.

4.3 Membership Fees shall be as agreed at each Annual General Meeting. Any Member whose Membership fee has not been paid in full four weeks after the applicable date for payment thereof shall be deemed to have terminated his/her membership of the Club, and shall have no claim on the Club whatsoever.

4.4 Membership Fees may, at the discretion of the Committee, be reduced for Members who live more than two hundred miles by road from town of Dunfermline. The reduction of Membership Fees in respect of such members shall not affect their status as either Probationary or Full Members.

4.5 All persons whose application to join the Club is accepted by the Committee shall upon joining the Club become Probationary Members, every Probationary Member shall serve a probationary period of at least six months measured from the date of joining.

4.6 The re-categorisation of a Probationary Member as a Full Member shall be automatic with the passage of time. The Committee            may, at it’s sole discretion and without giving reason therefore, extend the probationary period applicable to any particular Probationary Member for such period (or indefinitely) as the Committee considers appropriate.

4.7 Without prejudice to the Committee’s right to suspend or expel any Member under Rule 8 below, the Committee shall be entitled to terminate the membership of any Probationary Member. The Committee shall be entitled to do so at it’s sole discretion and with out giving reasons therefore. The Probationary Member whose membership has been terminated as aforesaid shall have no claim on the Club whatsoever, except that such member shall be entitled to a Pro- Rata refund of his/her membership fee in respect of the period of membership so terminated.

 


5. GENERAL MEETINGS

        5.1  "Annual General Meeting"

The Club shall hold an Annual General Meeting (AGM) in the month of January (or thereabouts) to:

I/   approve the Minutes of the previous year's AGM

2/   receive reports from the Chairman and Secretary

3/   receive a report from the Treasurer and approve the Annual Accounts

4/   elect the Committee

5/   accounts

6/   consider changes to the Constitution

7/   renew and consider any bye-laws

8/   deal with any other relevant business

5.2     "Extraordinary General Meeting"

 

5.3  An Extraordinary General Meeting (EGM) shall be called by application in writing to the Secretary supported by at least six (6) Members of the Club. The Committee shall also have the power to call an extraordinary General Meeting by decision of two (2) of its members.

5.3      "Notices and Agenda"

5.4      At least seven days notice and the Agenda shall be given to all voting members of any Annual General Meeting, and at least seven days notice and the Agenda shall be given to all voting members of any Extraordinary General Meeting.

          5.5  "Voting"

I.  With the exception of changes to the Constitution decisions put to a vote shall be resolved by simple majority at General Meetings.

2.  All members of the Club shall be entitled to one vote each.

3. The Chairman of the Club shall hold a casting vote in addition to a deliberative vote.

           5.5  "Quorum"

 

The quorum at General Meetings shall be six Members and the quorum for Committee meetings shall be three, of whom at least two must be Officers of the Club.

           5.6  "Changes to the Constitution"

                                    I.    Any change to the Constitution shall require a two-thirds majority of those present and eligible to vote.                 

 2. A proposal to change the Constitution must be submitted in writing to the Secretary who shall circulate the   proposal to all Members of the Club and allow seven days for the submission of any amendments before calling a meeting in accordance with Rule 5.3 above.


 3. All proposals for changes to the Constitution shall be signed by two Members eligible to vote at a General Meeting.

 

          6.  FINANCE AND ACCOUNTS

 

6.I. The financial year shall run from the 1st January to the 31st December each year.

6.2. The Honorary Treasurer shall be responsible for the preparation of the Annual Accounts of the Club.

6.3. The Accounts shall be audited by an independent person elected annually at the Annual General Meeting.

6.4. All cheques drawn against the Club's funds shall be signed by the Treasurer or by another approved signatory.

6.5. The Honorary Treasurer may invest the funds of the Club at such a rate of interest and on other terms considered appropriate by the Committee.

6.6 All Members of the Club shall be jointly responsible for the financial liabilities of the Club, and the members of the Committee  are hereby indemnified by the Members of the Club against any claim or demand in respect of any liability properly and bona fide incurred on behalf of the Club.

 

7. BY-LAWS

The Committee shall have the power to publish and enforce such by-laws as the Committee considers necessary to govern the activities of the Club, including but not limited to the Club's Range Safety Rules.

 

8. SUSPENSION AND EXPULSION

8.I The Committee may without prior warning suspend or expel from the Club any Member who violates any Club bye-law (including but not limited to the Range Safety Rules) or whose conduct is considered by the Committee to be unseemly objectionable or liable to bring the Club and/or the sport of shooting into disrepute. Such Member shall have no claim on the Club for any Membership fee paid, nor any other claim whatsoever.

8.2 Any Member suspended or expelled from the Club under Rule 4.7 above shall have the right of appeal to the Committee at the next Committee meeting. At such a Committee meeting the member concerned may appear personally and/or be represented at such meeting to present his/her case, and shall be given a fair hearing by the Committee. If such member remains unsatisfied by the Committee's decision, then he/she has a further right of appeal to a General Meeting held under Rule 5.

9. DISSOLUTION

In the event of the dissolution of the Club, any assets shall not belong to, or be retained by, any Member. Instead, for a period of twelve months, the assets shall be held in trust by the Scottish Air Rifle and Pistol Association (SARPA). During that twelve month period all outstanding debts shall be settled. Members may, at any time within the twelve month period, form a new club under similar conditions of this Constitution and with the approval of SARPA claim all the residual assets for the sole benefit of the new Club. If no representations have been made to SARPA after twelve months any remaining assets shall become the property of SARPA to be dispersed or retained as it sees fit.
